Effective Date: June 6, 2026 — Please read carefully. These terms contain a binding arbitration agreement and a class-action waiver (Section 11) that affect your legal rights.
1. Agreement to These Terms
These Terms of Sale (“Terms”) govern your purchase and use of products from Patriot Wellness Inc. By placing an order, creating an account, or using our Services, you represent that you are at least 18 years old and you agree to these Terms, the Refund & Returns Policy, the Privacy Policy, and the Shipping Policy, all incorporated by reference.
2. Products, Pricing & Order Acceptance
- Order acceptance. Your order is an offer to buy. We may accept or decline any order, or limit quantities, for any reason, including suspected fraud or resale. A charge authorization does not constitute acceptance; acceptance occurs when we ship.
- Pricing & typographical errors. Prices and availability may change without notice. If a product is listed at an incorrect price or with incorrect information due to a typographical or system error, we may cancel or correct the order and refund any amount charged, even after an order confirmation.
- Promotions. Discounts and promotions are subject to their stated terms and may be modified or ended at any time.
3. Dietary Supplement & FDA Disclaimer (DSHEA)
These statements have not been evaluated by the Food and Drug Administration. Our products are dietary supplements and are not intended to diagnose, treat, cure, or prevent any disease. Individual results vary. Product information and any testimonials are not a substitute for professional medical advice.
4. Assumption of Risk & Health Acknowledgment
By purchasing and using our products, you acknowledge and agree that:
- You are responsible for reviewing the product label, Supplement Facts, and full ingredient list before use, and for confirming you have no allergy or sensitivity to any ingredient.
- You will consult a qualified healthcare provider before use, particularly if you are pregnant, nursing, under 18, taking medication, or have a medical condition.
- You will discontinue use and seek medical attention if you experience any adverse reaction, and you assume the risk of any reaction or result from using the product as a dietary supplement.
- You will use products only as directed and not exceed recommended servings.
5. Subscriptions & Automatic Renewal
If you enroll in a subscription or auto-ship program, the following apply, consistent with ROSCA and applicable state automatic-renewal laws (including California’s and Connecticut’s):
- Clear disclosure & consent. Before you subscribe, we disclose the recurring price, billing frequency, and that the subscription continues until canceled. You provide affirmative, express consent to these terms at checkout. Consent to a subscription is separate from, and not required for, a one-time purchase.
- Billing. You authorize us to charge your payment method on the disclosed recurring schedule until you cancel. Prices may change with advance notice.
- Renewal reminders. Where required by law, we send reminder/renewal notices with the terms and a cancellation method before charging or before a free/promotional period converts to paid.
- Easy cancellation. You may cancel at any time — online through your account or by emailing support@patriotwellnessinc.com — using the same medium you used to enroll. Cancellation is effective for any order not yet processed; it does not retroactively cancel an order already shipped.
6. SMS/Text Messaging Terms (TCPA)
By opting in, you consent to receive recurring automated marketing and transactional text messages at the number provided. Consent is not a condition of purchase. Message frequency varies; message and data rates may apply. Reply STOP to cancel or HELP for help. We are not liable for delayed or undelivered messages.
7. Disclaimer of Warranties
Except for any express written warranty we provide and any warranty that cannot be excluded under applicable law, our products and Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that any product will achieve a particular health or wellness result.
8. Limitation of Liability
To the fullest extent permitted by law, Patriot Wellness Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, arising out of or relating to your purchase or use of our products or Services. Our total aggregate liability for any claim will not exceed the amount you paid for the product(s) giving rise to the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by our negligence where such limitation is prohibited.
9. Indemnification
You agree to indemnify and hold harmless Patriot Wellness Inc. from any claims, damages, losses, and reasonable attorneys’ fees arising out of your misuse of a product, your violation of these Terms, or your violation of any law or the rights of a third party. For wholesale and contract-manufacturing customers, the purchaser additionally indemnifies us against claims arising from the purchaser’s specifications, branding, labeling, marketing claims, and resale of the products.
10. California Proposition 65
[CONFIRM with counsel/labeling.] For products sold to California consumers, the following may be required where applicable: “WARNING: Consuming this product can expose you to chemicals including [chemical], which is known to the State of California to cause [cancer / birth defects or other reproductive harm]. For more information go to www.P65Warnings.ca.gov.” Include only the warning(s) supported by your product testing.
11. Dispute Resolution — Binding Arbitration & Class-Action Waiver
PLEASE READ — THIS SECTION AFFECTS YOUR LEGAL RIGHTS. It requires most disputes to be resolved by individual binding arbitration instead of court, and waives class actions and jury trials.
- Informal resolution first. Before filing any claim, you agree to contact us at support@patriotwellnessinc.com and give us at least sixty (60) days to resolve the dispute informally.
- Binding arbitration. Any dispute, claim, or controversy arising out of or relating to your purchase, these Terms, or our products or Services that is not resolved informally will be resolved by final and binding arbitration administered by [CONFIRM: the American Arbitration Association (AAA)] under its Consumer Arbitration Rules, rather than in court, except as stated below. The Federal Arbitration Act governs the interpretation and enforcement of this section.
- Class-action waiver. You and Patriot Wellness agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.
- Jury-trial waiver. You and Patriot Wellness waive any right to a jury trial in any matter arising from or relating to these Terms.
- Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing support@patriotwellnessinc.com with the subject “Arbitration Opt-Out” within thirty (30) days of your first purchase, stating your name and order number. Opting out does not affect any other part of these Terms.
12. Governing Law & Venue
These Terms and any dispute are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. Subject to Section 11, any action that proceeds in court will be brought exclusively in the state or federal courts located in Connecticut, and you consent to their jurisdiction.
13. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including supply shortages, raw-material or labor disruptions, carrier or utility failures, fire, flood, storm, acts of God, epidemics or pandemics, government action, war, terrorism, or civil disturbance.
14. General
- Severability. If any provision is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be limited to the minimum extent necessary.
- No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
- Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms and the policies incorporated by reference are the entire agreement between you and Patriot Wellness regarding your purchase and supersede prior understandings.
- Changes. We may update these Terms; the version in effect at the time of your order applies to that order. Material changes are posted with a revised Effective Date.
- Survival. Sections 3, 4, 7, 8, 9, 11, and 12 survive termination.
